Terms Of Service

Flow Circuits is a microfluidics design software as a service (SaaS) platform provided by Flow Circuits, LLC (hereinafter referred to as "us", "we", or "our"). These terms of service (hereinafter referred to as "Terms") govern your access to and use of Flow Circuits and all related services (hereinafter referred to as the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to update and change these Terms from time to time without notice. Any new features or updates to the Service shall be subject to these Terms. You can review the most current version of these Terms at any time by visiting our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

Use of the Service

You are responsible for obtaining access to the Service and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access the Service.

The Service is for your personal and commercial use. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must be 13 years or older to use the Service.

Data Use

For users who are on the free plan of Flow Circuits, we reserve the right to share specific user information with our trusted partner companies. This sharing of information is contingent on the following conditions:

  1. Eligibility: Only users who are on the free plan of Flow Circuits are subject to this policy. Users who have upgraded to any of our premium plans are exempt.

  2. Timeframe for Sharing: User information may be shared with partner companies if the user does not upgrade to a premium plan within three weeks (21 days) from the date of signing up for the free plan.

  3. Type of Information Shared: The information shared may include, user contact information, and preferences within the Flow Circuits platform.

  4. Purpose of Sharing: The purpose of sharing this information is to offer users tailored offerings and services from our partners that may enhance their experience with fluidic systems design and related fields.

  5. User Consent: By continuing to use the free plan beyond the three-week period, users implicitly give their consent for their information to be shared under these terms.

  6. Opt-Out Options: Users will have the option to opt out of this information sharing in two ways:

    • By upgrading to a premium plan at any time within the three-week period.

    • By sending an email to support@flowcircuits.com, requesting to opt out of information sharing, and forfeiting your free account

  7. Protection of User Data: We are committed to ensuring the security and confidentiality of user data. All partner companies are carefully selected and bound by confidentiality agreements to protect user information.

  8. Compliance with Laws: All data sharing will be conducted in compliance with applicable laws and regulations, including data protection and privacy laws.

This Data Use policy is part of our commitment to transparency and user choice in the use of our Service. We believe this approach aligns with our goal of offering a high-quality, customized experience to our users, while also maintaining the integrity and privacy of user data.

Use of Company Logos

Display of Logos on Our Website:

Upon signing up for Flow Circuits with a company email address, you grant us the non-exclusive, royalty-free right to use your company's logo on our website and in our marketing materials. This is to signify your company as a user of our service. The specifics are as follows:

  1. Scope of Use: The company logo may be used solely in the context of indicating your company as a user of Flow Circuits. This may include display on our website, in promotional materials, and in other marketing communications.

  2. Logo Acquisition: We will obtain the logo either directly from the publicly available resources (e.g., your company website) or upon your provision.

  3. Opt-Out: You retain the right to revoke this permission at any time. To opt out, please send a written request to support@flowcircuits.com. Upon receiving such a request, we will remove your company's logo from our website and cease its use in new marketing materials as soon as reasonably practicable.

  4. No Endorsement Implied: The use of your company's logo does not imply any endorsement of our products or services by your company.

  5. Compliance with Brand Guidelines: We will respect any brand guidelines you provide in relation to the use of your logo and will cease or modify the use if it is not in compliance with such guidelines.

  6. No Misrepresentation: We commit to not misrepresenting or creating any false endorsement or affiliation between our companies.

Accounts

In order to use the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account and password, and you are solely responsible for all activities that occur under your account.

You agree to immediately notify us of any unauthorized use of your account or password.

We reserve the right to terminate any account at any time for any reason.

Fees and Payment

The Service is available on a subscription basis. You will be charged in advance on a recurring, periodic basis (monthly or annually). The fees for the Service are subject to change. We will provide you with notice of any fee changes at least 30 days in advance.

If you cancel your account, you will not be entitled to a refund for any fees already paid.

We reserve the right to change the payment terms and fees for the Service at any time.

Intellectual Property

The Service and all content and materials included on the Service, including but not limited to text, graphics, logos, images, and software, are the property of Flow Circuits, LLC or its licensors and are protected by copyright and trademark laws.

You may not use any content or materials on the Service for any commercial purpose without the express written consent of Flow Circuits, LLC.

Termination

We reserve the right to terminate or suspend your access to the Service at any time, without notice, for any reason or no reason at all.

We will not be liable to you or any third party for any termination of your access to the Service.

Disclaimers

The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included in the Service.

We do not warrant that the Service will be uninterrupted or error-free.

Limitation of Liability

We will not be liable for any damages of any kind arising from the use of the Service, including but not limited to direct, indirect, incidental, consequential, and punitive damages.

Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any principles of conflicts of law.

Arbitration

Any disputes arising out of or in connection with these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and us and govern your use of the Service.
