Terms Of Service
Flow Circuits is a microfluidics design software as a service (SaaS) platform provided by Flow Circuits, LLC (hereinafter referred to as "us", "we", or "our"). These terms of service (hereinafter referred to as "Terms") govern your access to and use of Flow Circuits and all related services (hereinafter referred to as the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to update and change these Terms from time to time without notice. Any new features or updates to the Service shall be subject to these Terms. You can review the most current version of these Terms at any time by visiting our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
Use of the Service
You are responsible for obtaining access to the Service and that access may involve third-party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access the Service.
The Service is for your personal and commercial use. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You must be 13 years or older to use the Service.
Accounts
In order to use the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account and password, and you are solely responsible for all activities that occur under your account.
You agree to immediately notify us of any unauthorized use of your account or password.
We reserve the right to terminate any account at any time for any reason.
Fees and Payment
The Service is available on a subscription basis. You will be charged in advance on a recurring, periodic basis (monthly or annually). The fees for the Service are subject to change. We will provide you with notice of any fee changes at least 30 days in advance.
If you cancel your account, you will not be entitled to a refund for any fees already paid.
We reserve the right to change the payment terms and fees for the Service at any time.
Intellectual Property
The Service and all content and materials included on the Service, including but not limited to text, graphics, logos, images, and software, are the property of Flow Circuits, LLC or its licensors and are protected by copyright and trademark laws.
You may not use any content or materials on the Service for any commercial purpose without the express written consent of Flow Circuits, LLC.
Termination
We reserve the right to terminate or suspend your access to the Service at any time, without notice, for any reason or no reason at all.
We will not be liable to you or any third party for any termination of your access to the Service.
Disclaimers
The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included in the Service.
We do not warrant that the Service will be uninterrupted or error-free.
Limitation of Liability
We will not be liable for any damages of any kind arising from the use of the Service, including but not limited to direct, indirect, incidental, consequential, and punitive damages.
Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any principles of conflicts of law.
Arbitration
Any disputes arising out of or in connection with these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms constitute the entire agreement between you and us and govern your use of the Service.
